I hereby state that:

(i) was validly existing and in good standing under the laws of its incorporation;
(ii) had the corporate power to enter into and perform its obligations under the Agreement and has taken all corporate action necessary to authorize the execution and delivery of and the performance of its obligations under the Agreement; and
2. the Agreement was validly executed by [name of the organization].
